TERMS & CONDITIONS

The following Terms & Conditions apply to any applicant and every Member of Dreamer Republic, LLC (We, Us, Our, Collective). Upon applying, you signify mutual acceptance of the Terms & Conditions herein, entering into an agreement with Us, as the Member (You, Yours, Yourself).

BEING A MEMBER

Requirements

Membership is only available residents living within the Los Angeles County limits. We determine proof of residency based on the billing information included in the application. Prospecting Members that do no include an accepted address will be required to apply again. We reserve the right to revoke membership in the event that we find out, post acceptance, that the address provided was/is not accurate.

No one below the age of 18 is permitted to join. By applying, You warrant that you are 18 years old, or lying.

The application must be filled out completely with accurate information. If any section is missing or deemed incorrect at the initial time of review, You will need to reapply and pay the application fee again.
 

Getting Your Money's Worth

We wish for You to receive a return on your contribution many times over through full involvement in the Collective, however, You retain responsibility for making the very most of the many opportunities membership offers. 

We want to make it easy for potential clients to reach You. So, You are expected to inform Us of all public points of contact (website, social media, address, phone number, and email) in relation to Your work. Failure to keep Us updated on any changes made to these points may result in permanent removal from the directory.

If after 3 attempts to contact You over three months, You remain unheard from, and/or unseen, Noble and Royal members' points of contact will be removed from the directory, We will add 'Missing In Action' to your bio, take you off the email list and the Facebook group. However, your membership will not be terminated.
 

Keeping It Fun & Useful

We expect You to treat other Members with kind honesty. We distinguish this from kindness, which holds back truth (preventing growth), and brutal honesty, which disregards feelings (stunting growth).

As a Member of the Club, You agree to conduct Yourself in a professional and business-like manner, treating other Members with respect at all times. If the Club should receive a complaint about any Member’s behavior, We reserve the right to suspend membership. Such complaints would constitute a breach of these terms.

We understand that email marketing is a useful tool, however, Members are politely asked to keep email marketing to other members to a minimum and to include an ‘opt-out’ facility on every email. We reserve the right to suspend any aspect of membership in the event of complaints, and complaints would constitute a breach of these terms.

Confidentiality

The information We share with You pertaining the Collective and/or Our Members is for You and only You. You are expected to keep all information pertaining to the Collective, including but not limited to, emails, passwords, meetup locations, events, finances, project details, etc. and/or the personal information of other Members including but not limited to, personal and/or professional contacts, skills, projects, contact information, etc. to yourself. Information We would like You to share will be clearly detailed. Always ask other Members before giving out any of their information, and avoid talking to anyone about other Members.

Dues

Our membership is for an indefinite amount of time from the date of signing the application form. A one-time Application Fee is due on that date, followed by monthly payments to the Collective.

Membership and payments will continue until either party terminates membership in accordance with these terms.

Should a monthly payment be late or remain unpaid during the term, the remaining monthly payments will be due immediately, and We may remove You form the directory, Facebook group and/or the email list.

If overdue monthly payments are not received within 14 days of the Collective requesting them, debt collection proceedings may be commenced and any fees incurred by the Collective charged to the Member.
 

RELOCATING

Should You choose to relocate outside of Los Angeles County after becoming a Member, your points of contact will no longer be posted. Your name, bio, and photo will remain in our directory, along with the word "RELOCATED."

Moving outside of Los Angeles County does not terminate your membership or justify the suspension of Member dues. You will still remain in the Facebook group and on our email list.
 

TERMINATION

You may terminate Your membership by giving written notice to the Collective. We do not have a cancelation period. As soon as we receive Your request to cancel, You will not be charged.

Either party may at any time terminate the contract by immediate written notice if the other commits any material breach of these terms or goes into liquidation, becomes bankrupt, makes a voluntary arrangement with its creditors or has a receiver or administrator appointed.

Upon termination of this agreement for whatever reason all sums owed by the Member to the Collective shall become due and payable by the Member with immediate effect.

Membership of the Collective is at the sole discretion of the Collective and We reserve the right to terminate any Member via written notice without justification.

PRIVACY

Personal Information

Any personal Information provided to the Collective, including but not limited to, the Member’s name, address, telephone number and e-mail address will not be released, sold, or rented to any entities or individuals outside of the organization except as noted below.
 

Use Of Personal Information

We use Moonclerk to handle membership dues, and Squarespace to host our website. Both services use Stripe to process payments. They will likely retain some of your information for their own records. We also use Mailchimp for email lists.. For further explanation on what they do with your information, please read their privacy policies.
 

Outside Links

We are not responsible for the content of external Internet sites. You are advised to read the privacy policy of external sites before disclosing any personal information.
 

Cookies

A "cookie" is a small data text file that is placed in Your browser and allows the Collective to recognize You each time you visit this site (personalization, etc). Cookies themselves do not contain any personal information, and We do not use cookies to collect personal information. Cookies may also be used by third party content providers such as Squarespace.
 

GENERAL

Acceptance

Membership of the Collective is at the sole discretion of the Collective and it reserves the right to refuse membership.

We will notify You via mail whether Your application was accepted or denied. Either letter may or may not include why We made Our decision.
 

Timeliness

No failure or delay by either party in exercising any of its rights under these terms shall be deemed to be a waiver of that right, and no waiver by either party of any breach of these terms by the other shall be considered as a waiver of any subsequent breach of the same or any other provision.
 

APPLICABLE LAW; DISPUTES; REMEDIES

The laws of the State of California will govern these policies, terms, and conditions. Any dispute relating in any way to Your membership or the products purchased from our store shall be submitted to confidential binding arbitration in Los Angeles, California, except in regards to issues regarding violations of Our intellectual property rights, which We may seek relief from in any state or federal court in the State of California.

By applying and/or joining Our membership, You agree that Dreamer Republic, LLC's remedy at law for any actual or threatened breach of this membership Agreement would be adequate. As such, Dreamer Republic, LLC shall be entitled to specific performance, injunctive relief, or both, in addition to any damages that We may be entitled to recover, along with Our reasonable expenses for any form of dispute resolution, including without limitation Our attorneys' fees. No right or remedy of Ours shall be exclusive of any other, whether at law or in equity, including without limitation damages, injunctive relief, attorneys' fees and expenses.
 

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM INCLUSION IN THE COLLECTIVE, INCLUDING, BUT NOT LIMITED TO INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, SPECIAL, OR CONSEQUENTIAL DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ANY DAMAGES (REGARDLESS OF THE FOUNDATION FOR ACTION) SHALL NOT EXCEED IN THE AGGREGATE THE AMOUNT OF FEES ACTUALLY PAID BY YOU TO US DURING THE MONTH IMMEDIATELY PRECEDING THE ACT ALLEGEDLY GIVING RISE TO OUR LIABILITY.
 

SEVERABILITY

If any provision in these Terms of Use is deemed invalid or otherwise unenforceable, that condition shall be deemed severed and shall not affect the enforceability of the remaining provisions.
